This End-User License Agreement ("EULA" or "Agreement") is a binding contract between you (the "User", "you", "your") and Talya Global Lojistik Hizmetleri ("we", "us", "our"), the operator of ShipScanner — the ShipScanner web application, embeddable widgets, APIs and any related software we make available (together, the "Software"). By accessing, installing or using the Software, you agree to be bound by this EULA. If you do not agree, do not use the Software.
This EULA governs the licence to use the Software specifically. It supplements, and should be read together with, our Terms of Service and Privacy Policy. Where this EULA and the Terms of Service conflict on a licensing matter, this EULA controls.
1. Licence grant
Subject to your compliance with this EULA and payment of any applicable subscription fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Software for your own internal business or personal logistics purposes, for the duration of your active account or subscription.
2. Licence restrictions
You may not, and may not permit any third party to:
- Copy, modify, translate or create derivative works of the Software except as expressly permitted by us.
- Reverse-engineer, decompile, disassemble or otherwise attempt to derive the source code, underlying ideas or algorithms of the Software, except where this restriction is prohibited by applicable law.
- Rent, lease, lend, sell, sublicense, resell, distribute or otherwise transfer the Software or your access credentials to any third party.
- Scrape, crawl, harvest or systematically download Software data beyond your subscription quota, or use bots, scripts or automation to circumvent usage limits.
- Remove, obscure or alter any proprietary notices, trademarks or branding contained in the Software.
- Use the Software to build or train a competing product or service, or to benchmark for a competitor.
- Probe, scan or test the vulnerability of the Software, or breach or circumvent any security or authentication measure, without our prior written authorisation.
3. Accounts and credentials
The licence is keyed to your account. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us at info@talyasmart.com immediately if you suspect unauthorised use.
4. Ownership
The Software is licensed, not sold. We and our licensors retain all right, title and interest in and to the Software, including all intellectual property rights, the ShipScanner name and marks, the user interface, code, documentation and the curated databases we maintain (such as our port and carrier registries). No rights are granted to you except as expressly stated in this EULA. Carrier logos, names and trademarks displayed in the Software remain the property of the respective carriers and are shown for informational reference only.
5. Third-party data and services
The Software surfaces ocean schedules, container tracking, carrier metadata and rate signals sourced from third-party carriers and data providers. Such data is provided on a best-effort basis and may contain inaccuracies or delays. You agree to verify time-critical information (departure, arrival, customs status) directly with the carrier before acting on it. Your use of any third-party service integrated with the Software (for example, payment processing) is also subject to that provider's terms.
6. Updates
We may update, modify, or release new versions of the Software from time to time, and may add or remove features. This EULA governs any such updates unless an update is accompanied by a separate licence, in which case that licence applies.
7. Fees
Access to paid features of the Software requires an active subscription, billed as described in our Terms of Service. There is no free tier; paid plans start at $1.99/month (Starter). Non-payment may result in suspension or termination of the licence.
8. Disclaimer of warranties
The Software is provided "as is" and "as available", without warranty of any kind. To the maximum extent permitted by applicable law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, title, non-infringement and uninterrupted or error-free operation.
9. Limitation of liability
To the maximum extent permitted by applicable law, our aggregate liability arising out of or related to the Software will not exceed the greater of (a) the fees you paid us in the twelve (12) months immediately preceding the event giving rise to the claim or (b) one hundred US dollars (USD 100). We are not liable for indirect, incidental, special, consequential or punitive damages, including loss of profit, cargo, revenue, goodwill or data.
10. Term and termination
This EULA is effective until terminated. It terminates automatically if you breach any of its terms, and ends when your account or subscription is closed. We may suspend or terminate the licence if you breach this EULA, if your payment fails after reasonable notice, or if continuing to serve you would expose us to legal risk. On termination, the licence granted to you ends and you must stop using the Software. Sections that by their nature should survive (ownership, disclaimers, limitation of liability, governing law) survive termination.
11. Changes to this EULA
We may update this EULA from time to time. Material changes will be announced by email or a prominent in-app notice at least 14 days before they take effect. Continued use of the Software after the effective date constitutes acceptance.
12. Governing law and venue
This EULA is governed by the laws of the Republic of Türkiye. Any dispute that cannot be resolved through good-faith negotiation will be submitted to the exclusive jurisdiction of the courts and execution offices of Istanbul (Çağlayan), Türkiye.
